This Disclaimer applies to the AI SaaS Financial Model and all related materials (the “Licensed Product”) provided by Dmitry Perelygin, Italian sole trader (ditta individuale), partita IVA 04180740047 (“Licensor”). It is incorporated by reference into the License Agreement and the Terms of Sale, forming part of the binding contract between Licensor and Licensee. It also serves as a notice to any other person who obtains access to, views, or uses the Licensed Product or any Outputs derived from it.

1. Nature of the Licensed Product

The Licensed Product is a structured spreadsheet template and accompanying documentation, designed as an internal planning, scenario-modelling, and investor-communication framework for early-stage AI and SaaS startups. It reflects general industry frameworks and the Licensor’s general professional background, but is not tailored to the specific facts, circumstances, transactions, or regulatory environment of any particular company, user, or counterparty. It is intended for general informational, educational, and business-planning purposes only.

2. Not Financial, Investment, Legal, Tax, Accounting, Valuation, or Fundraising Advice

Nothing in the Licensed Product, including any text, formula, output, example, or accompanying material, constitutes:

  • (a) financial advice;
  • (b) investment advice or any recommendation to buy, sell, or hold any security, asset, or financial product;
  • (c) legal advice;
  • (d) tax advice;
  • (e) accounting advice;
  • (f) valuation advice; or
  • (g) fundraising, capital-raising, or securities advice.

Users requiring advice in any of these areas should consult an appropriately qualified independent professional licensed or authorised under applicable law to provide such advice in the relevant jurisdiction.

3. No Advisory Relationship

By making the Licensed Product available, Licensor does not act as a financial, investment, legal, tax, accounting, securities, or fiduciary adviser to any user. No fiduciary, advisory, professional-client, or other special relationship is formed by the purchase, access to, use of, or reliance on the Licensed Product or any Outputs derived from it.

4. No Guarantee of Outcomes

The Licensed Product does not guarantee, predict, or ensure any specific outcome, including:

  • (a) successful fundraising, investor interest, term sheet, or capital commitment;
  • (b) any particular valuation, pre-money or post-money;
  • (c) future financial performance, revenue, growth, profitability, or runway extension;
  • (d) the suitability of any Output for any particular transaction, decision, counterparty, or jurisdiction;
  • (e) the accuracy, completeness, or current applicability of any benchmark, comparable, or external data referenced in the Licensed Product; or
  • (f) any representation that the Licensed Product is designed to be, or shall be used as, an investment recommendation, offering document, prospectus, marketing communication of a financial product, or any communication intended to induce any investor or counterparty to provide capital, enter into any financial transaction, or rely on any Output as a representation of fact.

Past performance and historical benchmarks do not guarantee future results for any particular company.

5. User-Supplied Assumptions and Illustrative Outputs

Outputs generated by the Licensed Product are illustrative and scenario-based. They depend entirely on assumptions, inputs, and adjustments provided by the user. Different assumptions, different inputs, and different judgments about market conditions will produce materially different Outputs. The Licensed Product does not validate, audit, or guarantee the reasonableness of any user-supplied input. Market conditions, financing environments, and tax, accounting, and legal treatment vary by facts and jurisdiction and may change over time without notice.

6. Independent Review Required

Material business, financial, investment, fundraising, valuation, tax, accounting, or legal decisions based in whole or in part on Outputs of the Licensed Product must be independently reviewed and verified by qualified professional advisers licensed or authorised under applicable law in the relevant jurisdiction before any reliance. Licensor is not such an adviser to any user of the Licensed Product and assumes no responsibility for any decision made on the basis of the Licensed Product, with or without independent review.

7. Benchmark and External Data References

Benchmark figures, ranges, and comparable data referenced in or accompanying the Licensed Product are drawn from publicly available reports and similar sources (such as venture capital research, SaaS benchmark studies, and industry data published by firms including but not limited to a16z, Bessemer, High Alpha, Carta, and Stripe) as of the version date of the Licensed Product. Licensor does not control these sources and makes no representation that any such source remains available, accurate, applicable to any particular business, or current at the time of any user’s use. Mention of such sources does not imply endorsement, affiliation, or sponsorship by those parties. Users shall independently verify any benchmark before relying on it for any decision.

8. AI-Specific Limitations

The Licensed Product references metrics, benchmarks, and frameworks specific to the AI economy, including but not limited to Variance Buffer, Human-in-the-Loop costs, Heavy User Multiplier, % Autonomous, and AI Resolution Rate. These concepts reflect the state of AI SaaS economics as of the version date of the Licensed Product. The AI sector is subject to rapid change in compute and inference costs, regulatory frameworks (including but not limited to the EU AI Act and equivalent or successor legislation in other jurisdictions), pricing models, model capabilities, and market expectations. Benchmarks, frameworks, and assumptions in the Licensed Product may become outdated, and users shall verify the current applicability of any AI-specific metric, benchmark, or framework before relying on it for any decision.

9. Interpretation of Marketing Descriptions

Descriptive terms used in marketing materials for the Licensed Product, including but not limited to “investor-grade”, “VC-ready”, “investor-ready”, “professional-grade”, or similar expressions, refer exclusively to the structural quality, scope, and presentation of the Licensed Product as a planning tool. Such terms do not constitute any guarantee, representation, or warranty that:

  • (a) the use of the Licensed Product will result in successful fundraising or any specific investor outcome;
  • (b) any specific investor will accept, approve, or rely on Outputs generated by the Licensed Product;
  • (c) the Licensed Product or any Output meets the requirements of any specific investor, regulator, or counterparty; or
  • (d) the user is qualified or prepared to engage with investors as a result of using the Licensed Product.

10. Display and Acknowledgment

A copy of this Disclaimer is (a) made available on Licensor’s website (https://perelygin.expert/) prior to purchase, (b) provided to Licensee in the order confirmation email, and (c) included by reference as a notice within the Licensed Product itself. By proceeding past any such display, by completing checkout, by downloading or accessing the Licensed Product, or by viewing any Output derived from it, Licensee and any other user acknowledge having had the opportunity to read this Disclaimer.

11. Mandatory Consumer Rights

Nothing in this Disclaimer limits or excludes any mandatory rights you may have as a consumer under applicable consumer protection law in your country of habitual residence to the extent required by such law.
